1. Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you (the "Subscriber," "you," or "your") and WITS Programs Foundation ("WITS Foundation," "we," "us," or "our"), a registered Canadian charity, governing your access to and use of the WITS Schools Portal at schools.witsprogram.ca (the "Portal") and related services.
By creating an account, subscribing to a plan, or accessing the Portal, you agree to be bound by these Terms and our Privacy Policy. If you are subscribing on behalf of a school or school district, you represent that you have the authority to bind that institution to these Terms.
If you do not agree with these Terms, you must not use the Portal.
2. Definitions
- "Portal" means the WITS Schools Portal website at schools.witsprogram.ca and all content, tools, and services accessible through it.
- "Subscription" means a paid plan that provides access to gated content and services on the Portal.
- "Content" means lesson plans, classroom kits, educational resources, videos, and other materials made available through the Portal.
- "Co-Pilot" means the AI Educator Co-Pilot tool, which generates draft lesson plans based on educator inputs.
- "District Credit" means a pre-purchased activation code that allows a school to subscribe to the Portal.
- "Subscriber" means an individual educator or school representative who holds an active Subscription.
3. Accounts and Registration
To access the Portal, you must create an account by providing accurate and complete information, including your name, email address, school name, and province. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
Each account is intended for use by a single school. Account sharing across multiple schools is not permitted. If you need access for multiple schools, contact us about district credit options.
You must notify us promptly at [email protected] if you become aware of any unauthorized use of your account.
4. Subscriptions and Payment
4.1 Plans and Pricing

Prices are in Canadian dollars and do not include applicable taxes. We reserve the right to change pricing with 30 days' advance notice. Price changes do not affect the current term of existing subscriptions.
4.2 Free Trial
New subscribers may be eligible for a 14-day free trial of the WITS Annual plan. At the end of the trial period, your subscription will automatically convert to a paid subscription unless you cancel before the trial ends. You will not be charged during the trial period.
4.3 Payment Processing
Payments are processed securely by Stripe or PayPal. We do not store your credit card information on our servers. By subscribing, you authorize us to charge your selected payment method at the beginning of each subscription term.
4.4 Automatic Renewal
Subscriptions renew automatically at the end of each term unless you cancel before the renewal date. We will send a reminder email at least 30 days before renewal. You may cancel auto-renewal at any time through your account settings or by contacting us.
4.5 District Credits
School districts may purchase district credit packs, which generate activation codes that individual schools can use to subscribe. District credits are non-transferable outside the purchasing district and expire 12 months after purchase if not activated.
5. Cancellation and Refund Policy
5.1 Cancellation
You may cancel your subscription at any time through your account settings on the Portal or by contacting us at [email protected]. Upon cancellation:
- Your access to gated content continues until the end of your current paid term
- Your subscription will not renew at the end of the current term
- Your account remains active with Free Registration access
5.2 Satisfaction Guarantee
We offer a 60-day satisfaction guarantee for new subscribers. If you are not satisfied with the Portal within 60 days of your initial subscription purchase, you may request a full refund by contacting [email protected]. This guarantee applies once per school and does not apply to renewals.
5.3 Other Refunds
Beyond the 60-day satisfaction guarantee, refunds are provided at our discretion. We will consider refund requests in cases of:
- Extended service outages that materially affect your ability to use the Portal
- Billing errors
- Other circumstances on a case-by-case basis
Refunds, when approved, will be issued to the original payment method within 10 business days.
6. Acceptable Use
You agree to use the Portal and its Content only for legitimate educational purposes. You must not:
- Share your account credentials with other schools or institutions
- Reproduce, distribute, or publicly display Content from the Portal without our written permission, except for use within your own classroom
- Use the AI Co-Pilot to generate content that is harmful, discriminatory, or inconsistent with the educational values of the WITS programs
- Attempt to reverse-engineer, decompile, or extract the underlying algorithms or training data of the AI Co-Pilot
- Use automated tools (bots, scrapers) to access the Portal or download Content in bulk
- Upload content that infringes intellectual property rights or contains malware
- Submit false or misleading information during registration
We reserve the right to suspend or terminate accounts that violate these Terms.
7. AI Educator Co-Pilot
7.1 Nature of the Service
The AI Educator Co-Pilot is a drafting tool that generates lesson plan suggestions based on educator inputs. It is not a replacement for professional educator judgment. All outputs are clearly marked as "Draft - Educator Review Required" and should be reviewed, adapted, and approved by the educator before classroom use.
7.2 Limitations
The Co-Pilot may produce inaccurate, incomplete, or pedagogically inappropriate content. WITS Foundation does not guarantee the accuracy, completeness, or suitability of Co-Pilot outputs. You are solely responsible for reviewing and adapting any content generated by the Co-Pilot before using it in your classroom.
7.3 Usage Limits
The Co-Pilot is subject to daily usage limits (currently 5 generations per day per school). These limits may be adjusted at our discretion. Access to the Co-Pilot requires an active paid subscription and enrollment in the beta program.
7.4 Data Handling
When you use the Co-Pilot, the prompts you submit and the outputs generated are logged for quality assurance and audit purposes. This data is associated with your school account and is processed on Canadian infrastructure. No student-identifiable information should be included in Co-Pilot prompts. Our handling of this data is described in our Privacy Policy and AI Governance Policy.
8. Intellectual Property
8.1 Our Content
All Content on the Portal, including lesson plans, classroom kits, educational resources, images, logos, and text, is owned by WITS Programs Foundation or its licensors and is protected by Canadian copyright law. Your subscription grants you a limited, non-exclusive, non-transferable license to use the Content for educational purposes within your school.
8.2 Co-Pilot Outputs
Lesson plans generated by the AI Co-Pilot are provided for your use in your classroom. You may modify, adapt, and use these outputs in your teaching. You may not sell, redistribute, or commercially exploit Co-Pilot outputs outside your classroom without our written permission.
8.3 Your Feedback
If you provide feedback, suggestions, or improvement ideas regarding the Portal or Co-Pilot, you grant us a non-exclusive, royalty-free, perpetual license to use that feedback to improve our services.
9. Service Availability
We aim to keep the Portal available at all times but do not guarantee uninterrupted access. The Portal may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We will provide reasonable advance notice of planned downtime when possible.
We reserve the right to modify, suspend, or discontinue any part of the Portal at any time. If we discontinue a core feature of the Portal during your subscription term, you may request a prorated refund for the remaining term.
10. Limitation of Liability
To the maximum extent permitted by law:
- The Portal and Content are provided "as is" and "as available" without warranties of any kind, whether express or implied
- We do not warrant that the Portal will be error-free, secure, or continuously available
- We disclaim all warranties regarding the accuracy or reliability of AI Co-Pilot outputs
- In no event shall WITS Foundation be liable for indirect, incidental, consequential, or punitive damages arising from your use of the Portal
- Our total aggregate liability for any claims arising from these Terms or your use of the Portal shall not exceed the subscription fees you paid in the 12 months preceding the claim
11. Indemnification
You agree to indemnify and hold harmless WITS Foundation, its directors, officers, employees, and volunteers from any claims, damages, or expenses arising from your use of the Portal, your violation of these Terms, or your infringement of any third-party rights.
12. Privacy
Your use of the Portal is subject to our Privacy Policy. By using the Portal, you consent to the collection, use, and disclosure of your personal information as described in the Privacy Policy.
13. Governing Law and Dispute Resolution
These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of law principles.
Any dispute arising from or relating to these Terms shall first be addressed through good-faith negotiation. If the dispute cannot be resolved through negotiation within 30 days, it may be submitted to mediation in Victoria, British Columbia. If mediation is unsuccessful, the dispute may be brought before the courts of British Columbia.
14. Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will notify you by email at least 30 days before the changes take effect. Your continued use of the Portal after the effective date of the changes constitutes your acceptance of the updated Terms. If you do not agree with the changes, you may cancel your subscription before the changes take effect.
15. General Provisions
- Severability: if any provision of these Terms is found to be unenforceable, the remaining provisions continue in full force and effect.
- Entire Agreement: these Terms, together with the Privacy Policy and AI Governance Policy, constitute the entire agreement between you and WITS Foundation regarding the Portal.
- Assignment: you may not assign your rights or obligations under these Terms without our written consent. We may assign our rights and obligations without restriction.
- Waiver: our failure to enforce any provision of these Terms does not constitute a waiver of that provision.
- Force Majeure: we are not liable for any delay or failure to perform our obligations due to events beyond our reasonable control.
